    normally called a legal opinion. Usually opinions
    are published according to the direction of the
    court.  If a court decides to publish an opinion,
    it is included in a volume from a series of books
    called law reports. 
  • In common law legal systems, the published
    opinions of courts are also referred to as case
    law, which is one of the major sources of law.
    This kind of opinion explains what the case is
    about, and also discusses the relevant legal
    principles, in order to apply the law to the
    facts so that can reach a ruling in favor of one
    side. Modern judicial opinions reflect hundreds

  • In International jurisdiction, legal opinion is
    also called as an opinion letter. The opinion in
    a letter from issued by lawyers regarding legal
    conclusions and analysis of a transaction or
    matter which is referred to the addressee of the
    opinion. The actual purpose of the legal opinion
    is to inform the addressee the legal effect of
    the matter. Also he/she can identify the risks
    and accordingly can consider further and
    evaluate.
  • Legal opinion in Indiais commonly used in a
    variety of situations.  To say, if you want to do
    a cross-border transaction, you could obtain a
    legal opinion from lawyers whether a transaction
    document is valid and enforceable in that
    particular jurisdiction where you want to do the
    transaction and how it complies with the local
    law.

  • If the transactions involve multiple
    jurisdictions where the governing law of the
    documentation is English law, then a combination
    of both foreign and English law legal opinions
    may be required. The lawyers in the relevant
    jurisdictions will need to ensure that together
    the legal opinions opine on all relevant matters
    in such circumstances.  A legal opinion may be
    required in finance transactions, to satisfy
    certain conditions precedent in the transaction
    documents. 
  • It is usually required by the lenders to give
    them reassurance that the legal effect of lending
    in the transaction concerned is what they expect
    it to be. Even in bond issues also legal opinions
    are used.

The issuer's lawyers may need to provide a legal
opinion to the managers of the bond issue, in
order to provide comfort to them that the terms
and conditions of the bonds do not disregard any
laws. A legal opinion is not a substitute for
legal advice which, in a transactional context,
is likely to be more pervasive.
