  • A user-led organisation is one where
  • the people the organisation represents, or
    provides services to, have a majority on the
    Management Committee or Board, and where there is
    clear accountability to members and/or service
    users

  • How does a ULO operate?
  • While there is broad agreement about the
    values and functions of a ULO, there are many
    ways of putting these into practice.

Community Interest Company With People. Edinburgh
  • CICs are limited companies with additional
    features
  • They are created for the use of people who want
    to conduct a business or other activity for
    community benefit
  • Not purely for private advantage
  • This is achieved by a "community interest test"
    and "asset lock
  • This ensures that the CIC is established for
    community purposes and the assets and profits are
    dedicated to these purposes.

  • Surpluses are principally reinvested in the
    business or in the community
  • They are not interested in maximising profit for
    shareholders or owners
  • Social enterprises tackle a wide range of social
    and environmental issues
  • They use business solutions to achieve public
    good.
  • The Government believes that social enterprises
    have a distinct and valuable role to play in
    helping create a strong, sustainable and socially
    inclusive economy

    liability of the members is limited  
  • A company limited by guarantee has members who
    are guarantors instead of shareholders
  • Limitation of liability takes the form of a
    guarantee from its members to pay a nominal sum
    in the event of the company being wound up
  • The amount of money that is guaranteed can be as
    little as 1 and will be stated within the
    constitution of the company (the Memorandum
    Articles of Association).

  • The Charitable Incorporated Organisation (CIO) is
    a new corporate structure designed specifically
    for charities.
  • Members and trustees are safeguarded from
    liabilities the charity incurs
  • The charity can conduct business in its own name
    rather than in the name of its trustees
  • The CIO is expected to be an option available for
    charities in early 2011.

  • A CIL is a private, non-profit consumer-controlled
    organisation
  • It provides non-residential and non-medical
    Independent Living Services for disabled people
    of all ages
  • Consumer-Controlled means that over 51 of the
    Board of Directors and staff at a CIL are
    Disabled People
  • Every CIL has four services that it must offer
    -advocacy, peer support, information and
    referral, and independent living skills training.
