Introduction

• CByond Ltd. was established by me toward the end
  of year 2000
• Its goals were to develop miniature digital video
  cameras (for single and reusable use) for cardio
  vascular and endoscopic applications
• Funds were raised in several rounds from a
  privately owned venture capital firm and private
  investors.
• The BIRD approval has increased significantly the
  confidence ACMI had in CByonds technology and
  capabilities.

General History

• While looking for additional funding sources, I
  have met in 2002 ACMI
• We have established a supplier client
  relationship which later evolved into stepped
  investments and eventually a buy out.
• ACMI was a privately held well known company,
  established in 1902 with proven leadership
  position in urology and some presence in
  gynecology and general surgery

The BIRD agreement

• Difficulty in convincing ACMI to play along
• Main difficulties were due
• Fund allocation and division
• Transfer price issues
• Royalty division
• IP ownership
• Exposure of confidential data
• Internal budget control and interim reports
• Marketing efforts and investments
• Eventually, the problems were resolved and the 14
  month project was approved in Jan. 03

Result

• The DCN development was completed on time to
  became the first 5mm Digital Nephro-Cyctoscope on
  the market.

Cont.

• The resultant product was so revolutionary and
  successful that ACMIs management decided to
  repay the whole BIRD conditional grant before the
  end of the first year.
• A 16k pixel image was replaced by an 80k pixel
  picture.
• We are about to introduce an additional
  improvement that would increase the pixel count
  to 307k (full VGA image)

BIRD closing stage

• By the end of 2004, the complete BIRD funds have
  been repaid.

Afterwards

• The successful development was one of the main
  reasons that led to CByonds acquisition by ACMI
  which was completed in August 2004
• One year later, in August 2005 Gyrus PLC, has
  acquired ACMI for 497M to create GyrusACMI, one
  of the largest medical device companies
  concentrating on See Treat technology, active
  in urology, gynecology, ENT, and general surgery
• In my present role I am the VP for business
  development of the merged corporate of GyrusACMI
