• Changes to governance should meet the long term
  requirements of OCLC, and last for a minimum of 5
  to 7 years.
• Changes to governance must meet both existing and
  emerging regulatory requirements compatible with
  OCLC's not-for-profit status in the USA.
• Changes to governance must be compatible with the
  cooperative values of OCLC, and support its
  mission of furthering access to the world's
  information and reducing information costs.

• Changes to governance must result in a clear and
  transparent governance structure that can be
  readily understood by all the OCLC community.
• Changes to governance must support OCLCs
  strategic goals for expansion, both
  internationally and amongst the museum and
  archival community, whilst continuing to meet the
  requirements of member libraries in the USA.

• Changes must ensure effective governance of the
  highest quality which adds optimal value to OCLC,
  including in relation to strategic development
  and maximizing institutional performance.
• Changes must result in an experienced and
  credible membership of governance committees
  which is able to ensure responsibility and
  provide the appropriate independence, scrutiny,
  support and guidance to the management of OCLC,
  whilst avoiding direct involvement in operational
  issues.

• Changes to governance must result in quick and
  nimble decision making suitable for supporting
  innovation in a rapidly changing information
  environment, whilst ensuring the representation
  of the member library community.
