Sole Preferred Supplier

• Avendra will designate Ecolab as the Sole
  Preferred Supplier (in the same manner as in the
  Current Agreement) of the Bundle.
• Avendra shall use its best commercial efforts to
  encourage the Accounts to use the following
  Products and Services
• HVAC
• EcoSure
• GCS Direct Parts
• Avendra will not contract with, or endorse or
  otherwise promote any vendor who provides
  services in competition with EcoSure or GCS
  direct parts.
• Exceptions
• Avendra has and will continue to have contracts
  in place with other vendors of water care
  products and services (HVAC, boiler and related
  chemicals).
• Nalco
• GE Betz
• Avendra has and will continue to have contracts
  in place with vendors of pool and spa products
  and supplies that are not currently offered by
  Ecolab.
• Leslies
• In The Swim

Meet or Beat Pricing

• Applies to Pest Elimination, GCS Kitchen
  Equipment, Maintenance and Repair Services and
  Installed Parts, Pool and Spa Chemicals (If a
  Site Survey is Required)
• Ecolab must be competitive in terms of pricing
  for similar scope of service. 
• If it is determined that Ecolabs pricing is
  higher than the current offering provided by a
  third party, Ecolab will work with the property
  to show them the merits of the Ecolab program and
  try to convince them to come onto the program. 
• If scope of service is commercially the same,
  Ecolab shall have the choice to either (1) match
  the current providers pricing or (2) decline to
  provide this Service.
• If the property does not feel that they require
  the level of service Ecolab is proposing, Ecolab
  has the choice to either (1) lower their standard
  and pricing to match the current provider (at
  which point Ecolab automatically gets the
  business) or (2) decline to provide this
  Service. 
• This competitive pricing section does not apply
  to properties already purchasing these services
  from Ecolab.
