Formation Principles
  • The parties must be competent to enter into the
    contract
  • The subject matter of the contract must be
    proper
  • There must be an agreement, consisting of an
    offer and an acceptance
  • Consideration, something of value, must be given
    up by each side
  • The agreement must be in proper form

Contracts that need independent verification
  • An agreement that by its terms is not to be
    performed within one year of the date of
    formation
  • An agreement that by its terms is not to be
    performed within the lifetime of the promisor
  • A promise to answer for the debt or default of
    another

    other than mutual promises to marry
  • An agreement for the purchase or sale of real
    property or any fixture permanently attached to

    width to Archibald Associates. Archibald
    intended to provide Manning with a list of the

    this intention was not made clear. Upon receiving
