1MISSION STATEMENT
The Lauren Edgerton Foundation, Inc.
EXHIBIT A
- The Lauren Edgerton Foundation, Inc. was founded
to honor the memory of Lauren Elizabeth Edgerton,
and will represent the - essence of Lauren in an honorable and pure
manner. Lauren wanted to find a way for
pre-teens and teens to have a place where - they could go to meet with friends, and just
"chill" as she would say. A safe place, a place
they could call their own, Lauren's Place. - With the help of volunteers, fundraisers,
donations and grants, Laurens Place will provide
charitable assistance to the community - by providing a center for pre-teens and teens to
go when they need a break. If their home
environment becomes too challenging - and they need a cooling off spot, Laurens
Place will be their go to place. -
- Laurens Place will offer services such as the
Study, which will provide a quiet area for
members to do homework or projects. It will - be equipped with computers, printers, a copier,
and stationery supplies, the Library will provide
a book exchange program, the - Closet will provide a clothes exchange program,
the Gallery will display members' original art,
plus much more. - The Foundation will also help support charities
such as the Back River Restoration Committee, the
Cancer Treatment Centers of - America, the Lauren E. Scholarship Fund, March of
Dimes, To Write Love on Her Arms and St. Judes
Childrens Research - Hospital, by providing each charity with a yearly
donation.

EXHIBIT E
- The Closet (clothes/accessories/shoe exchange
program) Members will contribute clothes,
accessories and shoes they no - longer wear or use in exchange for a new
item(s). - The Gallery - Members will be able to display
original art, and quarterly art shows will be
scheduled. -
- The Game Room - Members will be able to play
games such as pool, Pac Man, Donkey Kong,
pinball, and board games. - The Gym - There will be a batting cage set-up for
baseball and softball, a pitching/catching
tunnel, and an elliptical machine. - The Kitchen Food, snacks and refreshments will
be provided for members. There will be a pizza
oven, ice cream bar, coffee - bar and a soft drink/juice/water bar.
- The Library (book exchange program) Members
will donate books they are finished reading in
exchange for new books. -
- The Club Room Various club gatherings (knitting
club, make-over club, art and crafts, etc.) - The Stage - Members will enjoy live music
performed by their peers on Friday and Saturday
nights. Plays, and dance recitals - will take place on Sunday. Karaoke, and poetry
readings will take place on other nights. This
space will also be considered a - Multi-purpose room. Anyone from the Community
will have the opportunity to rent the space for
parties, etc.

- ARTICLE I
- Name
- The Lauren Edgerton Foundation, Inc. (Foundation,
LEF) - ARTICLE II
- Purpose
- The purpose of the Foundation is to provide
assistance to the community by providing
charitable services. The Foundation will also
assist other charities by providing them with
yearly donations. - ARTICLE III
- Officers, Terms, and Duties
- Section 1 Officers
- A. The governing body will consist of six (6)
officers, Board of Directors who will have voting
rights, and ten(10) Committee - Directors who will assist the Board of
Directors in maintaining the Mission of the
Foundation. The Directors will not have voting - rights, but will be allowed to make
nominations for position on the Board of
Directors and Committee Directors. The officers - shall be

- Article III, Section 3 Duties The Executive
Board - A. The Chairperson shall exercise general
supervision over the affairs of the Foundation.
The present shall preside at all General Business
and Executive Board meetings. The Chairperson
shall nominate and fill vacancies on the Board of
Directors with the approval of the rest of the
Board members. The Chairperson shall preside
over the Board of Directors and shall report upon
their progress at each monthly meeting. Other
duties will include the authority to call
emergency board meetings in order to make
decisions deemed necessary for the good of the
Foundation, handle on-site problems, oversee the
day-to-day business of the Foundation and sign
check requests. - B. The Vice-Chairperson shall be responsible
for such duties as assigned by the Chairperson.
In the absence or inability of the - Chairperson to serve, the Vice-Chairperson
shall preside and, when necessary, take up the
Chairpersons duties. This person - is also assigned to handle on-site
problems, and share the overall responsibility of
the day-to-day business of the Foundation. - This person also has the authority to sign
check requests. The Vice-Chairperson will report
to the Chairperson - C. The Committee Chairperson will establish and
oversee committees for Laurens Place. The
Committee Chairperson will nominate person(s) to
fill the directors spot(s) for said committees.
This person shall coordinate functions with the
individual committee directors, troubleshoot
problems, and will report to the Chairperson. - D. The Treasurer shall be responsible for the
liquid assets of the Foundation funds. He/she
shall prepare a financial spreadsheet - outlining the Foundations accounts
receivable and accounts payable. This person
will be responsible for processing any and - all financial forms that may be associated
with running the Foundation. The Treasurer and
Chairperson will research grants - and will advise the Board of Directors
which grants the Foundation should apply for and
will also assist in the application - process of such grants. The Treasurer has
the authority to sign checks and will report to
the Chairperson. - E. The Secretary shall serve as Secretary of the
Foundation, the Board of Directors, special
meetings, and shall be responsible - for official communications. The Secretary
shall maintain an official and ongoing record of
the monthly meeting attendance - and will distribute the previous months
meeting minutes.

- Article III, Section 4 Duties The Directors
- The Director shall exercise supervision over the
affairs of his/her program, conduct themselves in
a professional manner, while maintaining the
Mission of the Foundation. The Director shall
enlist the aid of volunteers at his/her
discretion. The Director shall be responsible
for maintaining the proper management of his/her
program as it pertains to the purpose of the
Foundation. Director will report to the
Chairperson. - A. The Closet - This person will be responsible
for structuring the program, securing clothes,
shoes and accessories for The Closet, will be - responsible for marketing efforts to
advertise the program, establish an inventory
system, and recruit volunteers . - B. The Gallery This person will commission
original pieces of art from members of the
community to place in the Gallery. This person
will be - responsible for marketing efforts to
advertise the program, establish an inventory
system, and recruit volunteers. This person will
also be - responsible for organizing and hosting Art
Shows on a quarterly basis . - C. The Kitchen - This person will structure the
program, secure all items needed to run the
program, will be responsible for marketing
efforts to - advertise the program, establish an
inventory system, and recruit volunteers. - D. The Library - This person will structure the
program, secure all items needed to run the
program, be responsible for marketing efforts to - advertise the program, establish an
inventory system, and recruit volunteers . - E. Information Technology - This person will
maintain the Foundations computer equipment.
This person will troubleshoot and resolve

- ARTICLE IV
- Board of Directors
- Section 1 Composition
- A. The ruling body of the Foundation shall be a
Board of Directors having not less than six (6)
members, including the Chairperson plus - five (5) other board members.
- Section 2 Duties
- A. Chairperson Primary person for fundraising,
conduct board meetings, run the Closet program,
oversee committee directors, recruit
volunteers.B. Vice-Chair Assist with
fundraising, attend board meetings, run the
Kitchen and the Game Room, recruit
volunteers.C. Treasurer Assist with
fundraising, attend board meetings, keep
financial records, run the Library, recruit
volunteers - D. Secretary Assist with fundraising, attend

- Section 4 Meetings
- A. The Board of Directors will meet on the 3rd
Sunday of every month at 330pm. Meetings will
be held at 9307 Gardenia Road, Nottingham, MD
21236. At these meeting the following business
shall be conducted - 1. A review of the last monthly meeting by the
Secretary. - 2. Financial report by the Treasurer.
- 3. Progress report of the Board of Directors
by the Chairperson. - 4. A state of affairs report by the
Chairperson. - 5. Committee reports.
- 6. Amendments to by-laws to be voted on.
- 7. All ballots for officers shall be counted
at the November meeting. The nominee with the
highest votes shall be - declared the winner.
- 8. Misc topics will be discussed and acted
upon appropriately. - B. Special meetings may be called by the
Chairperson, provided a twenty-four (24) hours
notice is given to each Board Member. - C. A quorum at a meeting of the Board of
Directors, currently being six (6) shall consist
of at least three (3) of its voting members. - D. Only one (1) board seat may be held by a
Board Member.

- ARTICLE V
- Nominations for Committee Directors
- Section 1
- A. Nominations for Directors shall be made on or
before the close of the monthly meeting in
October, elections will be - be held in November.
- B. Persons nominated must be at least 18 years
of age and have graduated high school. - C. All nominations must be seconded.
- D. No nominees will be allowed to accept
nominations for more than one (1) office. - E. In the event any position does not have a
nominee after the first round of nominations, the
Board of Directors will meet to recommend a
nominee. A member of the Board will be allowed
to fill a Committee Directors position while - such position is vacant.
- F. Nominees will be approved by the Board of
Directors.

EXHIBIT G
- Section 2 Adoption of Amendments
- A. The proposal must carry a majority vote in
order for the amendment to override an existing
by-law. Results will be effective - immediately.
- ARTICLE VII
- Conduct
- A. A Board Member or Director of the Foundation
can be removed from office for conduct and/or
actions deemed detrimental to the Foundation. -
- B. Any member or affiliate of the Foundation who
disrupts programs in Laurens Place through their
conduct and/or actions may - be removed and/or banned from the facility
under the jurisdiction of the Lauren Edgerton
Foundation governing body. - C. In the event a member is removed and/or
banned from Laurens Place a written report will
be made by the Chairperson and - will be placed inside the members file.
- ARTICLE VIII
- Dissolution
